STANDARD TERMS AND CONDITIONS OF SALE or SERVICE

1. Acceptance of Terms: The Client agrees to the terms and conditions outlined herein. Any attempt to alter, supplement, or amend these terms and conditions or to enter an order for product(s) or service(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Verity One Ltd and the Client.

2. Payment Terms: Unless otherwise agreed in writing, all invoices issued by Verity One Ltd are payable within twenty-one (5) working days from the date of the invoice. Specific payment terms, if any, will be detailed on the invoice or in the contractual agreement.

3. Late Payment: In the event of late payment, Verity One Ltd reserves the right to: 
a. Charge a late payment fee of 5% of the outstanding amount, accruing daily. 
b. Suspend the provision of services without prior notice. 
c. Engage a debt recovery agency if payment is overdue by more than sixty (30) days, with all associated legal costs to be borne by the Client.

4. Withholding Tax: The Client is responsible for any withholding tax imposed by the laws of the UAE or any other jurisdiction, and such taxes shall be paid directly to the respective tax authority. The full invoice amount is due to Verity One Ltd without any deductions for withholding taxes or other statutory deductions.

5. Service Delivery: Verity One Ltd commits to using reasonable efforts to deliver services within the agreed timelines. However, service delivery times are estimates and not guaranteed. Verity One Ltd is not liable for any direct or indirect damages resulting from delays.

6. Limitation of Liability: Verity One Ltd shall not be liable for any claims arising from the Client's use of the services for any indirect, special, or consequential damages, including but not limited to, loss of profits.

7. Claims: Any claims regarding the services provided must be notified to Verity One Ltd by registered mail within eight (8) days following the delivery of the service, addressed to Verity One Ltd's registered office in Dubai, UAE.

8. Governing Law and Jurisdiction: These terms and conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the Dubai courts.

9. Amendments: Verity One Ltd reserves the right to amend these terms and conditions at any time. Such amendments will be effective immediately upon notification to the Client.

10. Entire Agreement: These terms and conditions constitute the entire agreement between Verity One Ltd and the Client, superseding all prior agreements, understandings, negotiations, and discussions, whether oral or written.
